Terms of Service | GameFace

These Terms of Service ("Terms") govern your access to and use of the websites, web applications, and services provided by GameFace Sports Technologies Inc. ("GameFace", "we", "us", or "our"), including getgameface.com, app.getgameface.com, and pro.getgameface.com (collectively, the "Services"). By creating an account or using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years of age to use the Services. If you are between 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Services, you represent that you meet these requirements.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at privacy@getgameface.com if you suspect unauthorized access to your account. You may not create an account on behalf of another person without their authorization, or use the Services for any unlawful purpose.

3. Your Content

You retain ownership of the content you upload or create on the Services ("Your Content"). By uploading content, you grant GameFace a non-exclusive, worldwide, royalty-free license to store, process, display, and transmit Your Content solely as necessary to provide the Services to you. You are solely responsible for Your Content. You represent that you have all rights necessary to grant the above license and that Your Content does not violate any law or third-party rights. We do not claim ownership of Your Content and will not use it for advertising or marketing purposes without your explicit consent.

4. Organization and Team Workspaces

The Services include features that allow organizations, teams, and coaches ("Organizations") to create shared workspaces and invite members. When you join an Organization's workspace, the following applies:

The Organization administrator controls access to and management of that workspace.
Content you contribute to an Organization workspace is accessible to other members of that workspace as configured by the administrator.
If you leave or are removed from an Organization workspace, your contributed content remains in that workspace and is subject to the Organization's policies. You do not have the right to demand deletion of content from an Organization workspace.
GameFace is not responsible for the data practices of Organizations using the platform.

5. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose or in violation of any applicable laws
Upload content that infringes any third-party intellectual property rights
Upload content that is defamatory, obscene, harassing, or otherwise objectionable
Attempt to gain unauthorized access to any part of the Services or another user's account
Interfere with or disrupt the integrity or performance of the Services
Use automated means to access or scrape the Services without our written permission
Impersonate any person or entity

6. Subscriptions and Payments

Certain features of the Services require a paid subscription. Subscription fees are billed in advance on a recurring basis. All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. We reserve the right to change subscription pricing with reasonable notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

The Services, including all software, design, text, graphics, and other content created by GameFace, are owned by GameFace and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from our proprietary content without our written permission. The GameFace name, logo, and GrindCard are trademarks of GameFace Sports Technologies Inc.

8. Third-Party Services

The Services integrate with third-party services including Facebook, Google, Apple (for authentication), Amazon Web Services (infrastructure), Twilio (SMS), and Stripe (payments). Your use of these integrations is subject to the respective third-party terms and privacy policies. GameFace is not responsible for the practices of these third parties.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAMEFACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

11. Termination

You may terminate your account at any time from the Settings page within the app. We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Services ceases immediately. Sections 3, 4, 7, 9, 10, and 12 survive termination.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Ontario, Canada.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the effective date. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
